Messrs. Jackson, Sharpton, Lee and Ms. Goldberg have joined together to insist that any armed security personnel on board should be restricted to the Caucasian decks only.  This requirement could be problematic because there are, at this time, no Caucasian decks on Carnival ships.

Carnival Cruise Line cannot guarantee that any of these negotiations will be successfully concluded.

Passengers are also advised that in the event of significant cancellations, Carnival Cruise Lines reserves the right to substitute a smaller vessel for the Carnival Dream, down to and including the Carnival Imperial Inflatable, our luzxury 20 passenger Zodiac.

The itinery for our star-studded cruise is not as yet finalized.  We will most probably begin our voyage in Los Angeles because so may of our guests reside in that area; and New York City is an obvious port of call to pick up many additional guests before leaving US territorial waters for good.

Beyond that, Justice Ginsburg wants to be dropped off in New Zealand, Amy Schumer wants to go to Spain, Samuel L. Jackson says he is “moving my black ass to South Africa”, Jon Steward expects to end up “on another planet” as yet unspecified.  A stop in Canada has been requested by a number of our celebrities.




What Voids an Employment Contract

Small-business owners shouldn’t make non-compete provisions too broad.

Employment contracts are not unlike other contracts — certain problems may arise that render the contract void. There is an important distinction between contracts that are void and ones that are voidable. A voidable contract is one that may be canceled by the parties involved. In other words, a situation may arise — such as breach — that can cause one or both of the parties to rescind the contract. However, a void contract is actually not a contract at all. Void contracts are null from the start, particularly if they include illegal terms or terms that are contrary to public policy.

Overly Broad Provisions

It’s common for small-business owners to include non-compete provisions in employment contracts. These clauses are legal in every state except California, but other state courts limit the restrictions. Non-compete clauses generally limit an employee’s ability to work for a rival company for a specific period after termination. Although state laws and case law varies, most courts find a one-year period reasonable. However, a period that exceeds one or two years may be considered void and unenforceable.

Inappropriate Provisions

A non-compete agreement that attempts to bind every employee may be considered void. For example, an employee who doesn’t have access to proprietary information, such as client lists or trade secrets, should not be asked to sign to a non-compete agreement. Employees who routinely engage with a company’s secret processes — processes that give the company a market advantage, for example — may be asked to agree to non-compete and a non-disclosure provisions.

No Consideration

All contracts require “consideration,” which is defined as a benefit. An employment contract that asks an employee to agree to its terms without providing the worker a benefit, such as a promotion or a raise, lacks consideration and is automatically null. Consideration is an integral part of any employment contract, as employees must be given the “benefit of the bargain.” If there’s no benefit for the employee, the a court may deem it too one-sided.

Illegal Terms

Any illegal term in an employment contract is automatically void. For example, in California, non-compete clauses are void on their face because the state has made them illegal by statute. Any other clause that asks an employee to agree to something made illegal by state or federal law is also void. For example, a clause that asks an unsalaried employee to work unpaid overtime is void.


Employment contracts often include severability clauses. These clauses state that where any term or provision is deemed unenforceable or void, it is severed, or removed, from the rest of the contract — the enforceable terms remain, however. Severability clauses allow courts to strike out offending provisions without voiding the entire contract. It’s possible for a court to render an entire contract void if it lacks a severability clause.

Citizen complaints that contrary to the Town Charter the November meeting was not held, nor apparently was any vote taken to not hold the meeting on the second Tuesday of the Month. Perhaps Stacy had to stay at her primary residence to vote on Tuesday the 8th of November or she had a meeting with her attorney on her Federal Civil Rights case. Either way the meeting was not held and was postponed until the 15th of November. Unclear about why the meeting was not held on the 15th except rumor has it that there wasn’t proper notification of the meeting, again Stacy’s fault.

A meeting MUST be held in November and it must be held sooner rather than later.

How long are we going to SUFFER through the ineptitude of our Town Manager.


RESET OF THE POSTPONED MEETING OF 8 NOVEMBER RESET TO 15 NOVEMBER AND NOW SET FOR 29 NOVEMBER WITHOUT A COUNCIL VOTE. I tell you we are being lead by totally incompetent buffoons Stacy chief among them.


“If the Ethics Commission believes a violation of the law may have occurred, it may decide to hold a public hearing. If it concludes a violation has been committed, it may recommend civil penalties that include removal from office or employment and fines up to $10,000 per violation.”

The law is 112.313(6) and is quoted as follows:

MISUSE OF PUBLIC POSITION.No public officer, employee of an agency, or local government attorney shall corruptly use or attempt to use his or her official position or any property or resource which may be within his or her trust, or perform his or her official duties, to secure a special privilege, benefit, or exemption for himself, herself, or others. This section shall not be construed to conflict with s. 104.31.

While this law could be applied to Stacy Tebo and all members of the Council as well as a certain Constitutional Officer of Hamilton County we will just see how the process works. We will know on 9 December, 2016 with a press release shortly thereafter.

We already know that the Council will be shook up if the present Council member is found guilty. Pray for Open Government.

This author has already filed one ethics complaint against a White Springs Council member and anticipates filing at least two others, one against another Council member and one against a Constitutional officer of Hamilton County.

We will get White Springs and Hamilton County cleaned up, I promise you.


Invalid Contracts

Businesspeople have a common belief that after entering into a contract, there are no exceptions to its enforcement and are otherwise free from issues. ‘Contract’ is a written way to solidify an agreement among two parties in relation to business activity or any activity for that matter. A valid agreement exists, provided that the listed elements are suitably met. The fact of the matter is that not all contracts are valid. There may be a situation where the elements are absent – thus making it unenforceable or otherwise, not fully enforceable.


There may also arise a situation wherein the terms of the contract are against public policy. In such cases, the contract ‘even though it meets all elements’ is void. However, there are a number of differences between a contract that is ‘invalid’ and one that is ‘void’.

Elements of a Valid Contract

There are 3 elements of a contract that are essential for it to be enforceable. These are:

  • 1. Offer – A promise to execute an action
  • 2. Acceptance – Acknowledgement of the offer and accepting to perform it
  • 3. Consideration – Something of material value that is agreed upon by both parties in return for performing the action

Without the presence of even one of these elements, a contract cannot be valid.

Invalid Contract

There are several situations where a contract becomes invalid or unenforceable. Invalid Contracts those that do not contain any one of the three elements, do not satisfy the terms or are illegal.

Contracts may become invalid under the following circumstances:

  • If the contract is against public policy
  • If the contract is illegal
  • If the offer/acceptance/consideration calls for action that violates the law – such as gambling, robbery, etc.
  • If the purpose of the contract is illegal

Contracts may be deemed unenforceable due to a variety of reasons. Sometimes, the contract is not legal but against public policy. For example, a clause in an employment contract to not compete in the organization is against public policy. Employers may do this to ensure that employees due not leave the organization. However, this restricts the right of free employment for an individual.

Breach of contract cannot be charged if the contract, itself, is invalid. In such cases, the suing party is not awarded any damages as the contract is considered unenforceable.

The Contract Law

According to United States Code, Section 10: “All agreements are contracts if they are made by the free consent of the parties competent to contract, for a lawful consideration and with a lawful object, and are not hereby expressly declared to be void”

This means that for a contract to be valid, the following terms must be fulfilled:

  • 1. The agreement must not be declared void
  • 2. Creating a legal relationship must be the intent
  • 3. It must be a lawful object
  • 4. The offer, acceptance and consideration must be proper
  • 5. The meaning must be clearly defined
  • 6. Free consent of both parties
  • 7. The parties must be in a capacity to form a contract
  • 8. The consideration must be lawful
  • 9. It must be done through legal formalities
  • 10.The performance of contract must be possible

To make sure you have a valid contract, you should discuss the particulars of your contract with an experienced attorney who will represent your legal interests. As oftentimes there is a lot of ambiguity innate in the law and the written words of a contract, a lawyer can facilitate that your legal rights are enforced.

F.S. 112.3175

112.3175 Remedies; contracts voidable.—

(1) Any contract that has been executed in violation of this part is voidable:

(a) By any party to the contract.

(b) In any circuit court, by any appropriate action, by:

1. The commission.

2. The Attorney General.

3. Any citizen materially affected by the contract and residing in the jurisdiction represented by the officer or agency entering into such contract.

(2) Any contract that has been executed in violation of this part is presumed void with respect to any former employee or former public official of a state agency and is voidable with respect to any private sector third party who employs or retains in any capacity such former agency employee or former public official.

Want to know something scary?

Thank GOD she was not elected to be the next president.


White Springs does it again. They can put up a notification for a meeting they didn’t have but can’t seem to get up a notification of a meeting they reportedly are going to have.

Just so my readers know what I am talking about the Sunshine Law requires advance notification of meetings of the Town Council and other decision making or recommendation making boards and committees. It’s not hard, you just take the agenda items page out of the briefing books for the Council and put them on the town’s two bulletin boards. But the idiot Pam and the idiot Stacy couldn’t even get this simple task done correctly.

The Sunshine Manual says the notification should happen seven (7) days prior to the meeting. By consensus White Springs has always posted three (3) prior to a meeting. Okay I can live with that. But to only put up the announcements one (1) day prior to the meeting just isn’t going to work for me. The announcements were not up over the weekend, a fact that both I and Helen confirmed.

On Friday I complained that the town had not sent out the Council Briefing books. Around 11 PM I got my Briefing Book but Helen didn’t get her book as of 2 PM on Saturday. No briefing book and the Council is in the dark, so what is new? No Notice and you simply can’t have a meeting. I could run up to Judge Scaff’s Chambers and get a Cease and Desist order but I’d rather challenge whatever it is the Council decides because of the lack of Notification.

Why we as a town allow such incompetence is beyond me. And here it is Monday again and Stacy is down in DeBary and Orlando working on her Civil Rights suit against the City of Debary and not up here doing her JOB. Hell lets hire someone out of White Springs for both Pam and Stacy’s positions. They wouldn’t have to know anything, just like Pam and Stacy, but they must show up for work regularly. 90 % of doing a good job is to just show up. Neither Stacy nor Pam seem capable of doing that.

No Announcement No Meeting. It is the Law.
